CORPORATIONS: Organization and Capital Stock Transactions


Learning Objective:

Corporation:

An entity created by law separate and distinct from its owners continued existence is dependent upon the statutes of the state in which it is incorporated.


Classification of corporations:

Characteristics of a Corporation:

·      Advantages of a Corporation:


            ·     Separate legal existence from its owners.
            ·     Stockholders have limited liability.
            ·     Ownership held in shares of capital stock      transferable units.
            ·     Ability to acquire capital through the issuance of stock.
            ·     Continuous life.
            ·     Professional management is at the discretion of the board of directors who are elected by the stockholders.



·      Disadvantages of a Corporation:



            ·     Subject to numerous government regulations.
            ·     Must pay an income tax on its earnings.
            ·     Stockholders required paying taxes on the dividends they receive: the result is double taxation.

Organization Costs:


            ·     Costs incurred in forming a corporation; include legal fees, state fees and promotional expenditures.
            ·     Expensed as incurred since it is so difficult to determine the amount and timing of future benefits.
Ownership Rights of Stockholders:


            ·     Vote on actions that acquired stockholder approval.
            ·     Share in corporate earnings through the receipt of dividends.
            ·     Maintain the same percentage ownership when additional shares of common stock are issued (Preemptive right).
            ·     Share in assets upon liquidation (Residual claim).

Stock Issue Considerations:  Authorized stock:


            ·     Amount of stock a corporation is allowed to sell as indicated by its charter.
            ·     The authorization of capital stock does not result in a formal accounting entry.
            ·     This event has no immediate effect on either corporate assets or stockholders’ equity.

Issuance of Stock:

            ·     A Corporation can issue common stock directly to investors or indirectly through an investment-banking firm (brokerage house) which may agree to underwrite the entire stock issue.
            ·     Direct issue is typical in closely held companies.
            ·     Indirect issue is customary for a publicly held corporation.

Stock market price:


            ·     Publicly held companies traded on organized exchanges dollar prices per share are established by the interaction between buyers and sellers.
            ·     The prices set by the marketplace generally follow the trend of a company’s earnings and dividends.

Par Value & No-Par Value Stock:

Capital stock that has been assigned a value per share in the corporate charter represents the legal capital per share that must be retained in the business for the protection of corporate creditors.
Capital stock that has not been assigned a value in the corporate charter. In many states the board of directors can assign a stated value to the shares, which then becomes the legal capital per share. When there is no assigned stated value, the entire proceeds are considered to be legal capital.









Corporate Capital:
            ·     Stockholders’ equity, shareholders’ equity, or corporate capital is the same.
            ·     Owner’s equity in a corporation appears in Stockholders’ equity section of a corporation’s balance sheet.

Paid-in (contributed) capital:

Total amount of cash and other assets paid in to the corporation by stockholders in exchange for capital stock shares both common and preferred.

Retained earnings:


Is net income that is retained in the corporation. Net income is recorded in Retained Earnings by a closing entry in which Income Summary is debited and Retained Earnings is credited.

Example:
If the net income for Delta Robotics is $130,000 in its first year of operations, the closing entry is:

Relationship of Authorized, Unissued, Issued, Outstanding, and Treasury Stock


·     Authorized stock:


Is the maximum number of shares a corporation is allowed to issue.

·     Issued stock:



Is the shares sold or otherwise transferred to stockholders.

·     Unissued stock:


Is number of shares of the authorized stock that are not issued yet. And it has no rights or privileges until issued.

·     Outstanding stock:



Is the shares that has been issued and is still in circulation.

Is the shares that has been issued and repurchased by the corporation.

Audit Sampling for tests of Details of balances.



Learning Objectives:





- Differentiate audit sampling for tests of details of balances and for tests of controls and substantive tests of transactions.

• The primary concern is testing the effectiveness of internal controls and the rate of monetary misstatements.

• The purpose is to determine if the exception rate in the population is sufficiently low to justify reducing assessed control risk to reduce substantive tests. • The concern is determining whether the monetary amount of an account balance is materially misstated.

• Attributes sampling, therefore, is seldom useful for tests of details of balances.

Acceptable Risk of Incorrect Acceptance (ARIA):



• It is the risk tat the auditor is willing to take of accepting a balance as correct when the true misstatement in the balance is greater than tolerable misstatement.

• It is a measure of the auditor’s desired assurance for an account balance, if the auditor wants more assurance for an account balance ARIA is set lower.

• ARIA is the equivalent term to ARACR for tests of control and substantive test of transactions.

• There is an inverse relationship between ARIA and required sample size.

The point estimate:

is an estimate of the total amount of misstatement in the population as projected from the known misstatements found in the sample. The projection is based on either the average misstatement in the sample times the population size, or the net percent of misstatement in the sample times the population book value.



Determining the initial sample size:

You are planning to use non-statistical sampling to evaluate the results of accounts receivable confirmation for Meridian Company. You have already performed tests of controls for sales, sales returns and allowances, and cash receipts, and they are considered excellent. Because of the quality of the controls, you decide to use an acceptable risk of incorrect acceptance of 10%. There are 3,000 accounts receivable with gross value of $6,900,000. The accounts are similar in size and will be treated as a single stratum. An overstatement or understatement of more than $150,000 would be considered material.

a. Calculate the required sample size. Assume your firm uses the following non-statistical formula to determine sample size.

Sample size = (Book value of population ÷Tolerable misstatement)× Assurance factor:

5% ARIA = 3

10% ARIA = 2

20% ARIA = 1

b. Assume that instead of good results, poor results were obtained for tests of controls and substantive tests of transactions. How would this affect your required sample size? How would you use this information in your sample size determination?

c. Assume a total book value of $230,000 for the 100 accounts selected for testing. You uncover three overstatements totaling $1,500 in the sample. evaluate whether the population is fairly stated.

Assurance factor that related to ARIA of 10% = 2

Sample size = ($6,900,000 ÷150,000)× 2

= 92 items

b. If poor results were obtained for testes of controls and substantive tests of transactions for sales, sales returns, allowances, and cash receipts, the required sample size for tests of details of balances would need to be increased. Using the formula of determining sample size the auditor would increase sample size by increasing assurance factor (lowering ARIA).

c. The direct projection of error for the sample can be computed as follows:

(Errors in sample ÷ sample book value)

× population book value



= $1,500÷ 230,000)× 6,900,000

= $45,000 overstatement

The projected error of $45,000 is below tolerable misstatement of $150,000 and provides an allowance for sampling risk of $105,000 (150,000 – 45,000). Accordingly, the population is deemed to fairly stated.

Linear Programming
البرمجة الرياضية:
تنقسم البرمجة الرياضية إلى عده أقسام وهى:
1- البرمجة الخطية Linear Programming (LP)
تعتبر البرمجة الخطية من أهم أساليب البرمجة الرياضية و أكثرها تطبيقا فى الحياة العملية لضمان الاستخدام الأ مثل للموارد في ظل إمكانيات وموارد محدودة. مثل إيجاد المزيح الأمثل من بين المنتجات التي ينتجها مصنع معين لتحقيق اكبر ربح طبقا للمتاح من العمل والمواد الخام. وكذلك مثل نقل منتجات معينة من مناطق إنتاج إلى مراكز إستهلاك بحيث تقوم كل منطقة إنتاجية بتوزيع منتجاتها إلى مراكز الإستهلاك بحيث يشبع كل مركز إستهلاكي طلبه بأقل تكلفة ممكنة.

2- برمجة الأهداف  (Goal Programming) (GP)

يوجد فى هذا النوع من البرمجة أكثر من هدف ، ويعبر عن كل هدف بقيد يحتوىعلى متغيرين فى صورة معادلة يعرف بقيد الهدف ، ويتم صياغة دالة الهدف في صورة تدنية مجموع متغيرات الانحرافات غير المرغوب فيها، ويمكن تقدير معامل لكل هدف يعكس درجة تفضيل متخذ القرار ويمكن عمل ما يسمى معامل أولوية ، ويتم حل برنامج الأهداف باستخدام طريقة السمبلكس وذلك بعد تعديلها حتى تأخذ في الاعتبار معاملات الأولوية.

3- البرمجة الصحيحة Integer Programming (IP)
فى كثير من المواقف الإدارية تكون قيم متغيرات القرار أعداد صحيحة فمثلا عند اختيار التوليفة الأقل تكلفة من الطائرات المطلوب شرائها طبقا للسعر ووفق الصيانة والطاقة الاستيعابية، فانه في مثل هذه الحالة ليس من المعقول أن تكون أعداد الطائرات فى صورة كسرية. و كذلك عند اختيار التوليفة الأكثر ربحاً من بين المشروعات المطلوب انشاؤها طبقا للموارد المالية المتاحة فليس من المناسب أن تكون أعداد المشروعات فى صورة كسرية. ويمكن التفرقة بين ثلاثة أنواع من البرمجة الصحيحة بحسب نوع متغيرات القرار التى يتضمنها البرنامج.
أ) البرمجة الصحيحة العامة :General Integer Programming
    وهى التى تكون جميع متغيرات القرار فيها فى صورة صحيحة.
ب) البرمجة الصحيحة الثنائية: Binary Integer Programming
     وهى التى يمكن أن تكون فيها متغيرات القرار إما صفر أو واحد.
جـ) البرمجة الصحيحة المختلطة Mixed Integer:
       وهى التى تحتوى على خليط من المتغيرات ذات الطبيعة الصحيحة        والكسرية.

4- البرمجة غير الخطية Non-Linear Programming (NLP) يعتبر البرنامج غير خطى إذا تم صياغة علاقة أو أكثر من العلاقات فى صورة غير خطية ويمكن حله باستخدام حساب التفاضل للحصول على قيم متغيرات القرار التى تعظم أو تخفض دالة الهدف .

5- البرمجة التربيعية Quadratic Programming (QP)
وفى مثل هذه البرمجة تكون دالة الهدف في صورة تربيعية و القيود الهيكلية فى صورة خطية، وهى حالة خاصة من البرمجة غير الخطية مثل نماذج اختيار المحافظ التى تكون فيها دالة الهدف من جزأين: جزء يمثل العائد المتوقع من المحفظة فى صورة خطية والجزء الآخر يمثل المخاطرة التى تنطوى عليها قيم المحفظة فى صورة تربيعية.

6- البرمجة العشوائية أو الاحتمالية Stochastic Programming (SP)

وفى البرمجة العشوائية يتم وصف مؤشر أو أكثر من مؤشرات النموذج باستخدام متغيرات عشوائيةاحتمالية-، ومن الطريق المعروفة للحل طريقة Chance Continues Programming حيث تقدر البرمجة العشوائية المقيدة القيم المتوقعة لدالة الهدف ومعاملات متغيرات القرار من القيود الهيكلية أو الطرف الأيمن لها أو كليهما كمتغيرات عشوائية ذات توزيعات احتمالية معينة.
7- البرمجة الديناميكيةDynamic Programming (DP) 
وتستخدم عندما يكون المطلوب هو التوصل إلى حلول متعلقة ببعضها البعض وفي فترات متغيرة و متعاقبة ويكون الغرض من دالة الهدف هو أمثلية هذه الأهداف على الفترات المختلفة بأكملها.
البرمجة الخطية:
يعتبر أسلوب البرمجة الخطية أحد الأساليب الكمية الهامة لبحوث العمليات التى تستخدم لمساعدة المنشآت فى تخصيص الموارد المحدودة من أجل استخدامها أفضل استخدام كما هو الحال فى:
-    تعظيم الربح: حيث يعتبر الربح متغيراً تابعاً يتعمد فى تغيره على مجموعة من المتغيرات المستقلة المحددة بمجموعة من القيود.
-    تخفيض التكلفة: حيث تعتبر التكلفة متغيراً تابعاً يتعمد فى تغيره على مجموعة من المتغيرات المستقلة المحددة بمجموعة من القيود.
ويفترض أن العلاقة التى تربط بين المتغير التابع ومجموعة المتغيرات المستقلة هى علاقة خطية حيث يتم التعبير عنه من خلال المعادلة التالية والتى يطلق عليها دالة الهدف Objective Function

      أ­­1  ،   أ2   ، ........، أن هى معاملات للمتغيرات المستقلة تكون ذات قيم ثابتة
كما يلاحظ :
1-        أن المعادلة خطية لأن المتغيرات المستقلة جمعيها مرفوعة للقوة (1).
2-        أن المتغيرات المستقلة المحددة للمتغير التابع محددة بقيود وهذه القيود تأخذ شكل المتباينات ( عدم التساوى).

حيث  ب: القيد المفروض على المتغيرات المستقلة والذى بدوره يمثل قيداً على المتغير التابع ص.




مجالات تطبيق البرمجة الخطية:

1-     الصناعة :
 لوضع جدول إنتاج وسياسة مخزون لمقابلة الطلب مستقبلاً ، حيث تكون الأمثلية أن يقابل كل من الجدول والسياسة الطلب ، وفى الوقت نفسه تخفض تكاليف الإنتاج والمخزون إلى أدنى حد ممكن .
2-     التحليل المالى:
 حيث يحتاج المحلل المالى إلى اختيار سياسة مالية من بين عدة اختيارات . ويهدف المحلل هنا إلى اختيار السياسة التى تحقق أقصى عائد من الاستثمار.
3-    التسويق:
 قد يحتاج مدير التسويق إلى معرفة ما هي أفضل طريقة لتوزيع ميزانية إعلان بين أنواع وسائل الإعلام المختلفة مثل الإذاعة ، والتلفزيون ، والصحف ، والمجلات . ويهدف المدير هنا إلى تحديد المزيج الإعلامى الذي يحقق أعلى عائد من الإعلان .
4-     توزيع ونقل البضائع:
 مثال  لدى شركة لديها مخازن فى عدة محافظات ويقابل ذلك عدد محدد من العملاء الذين يطلبون بضائع تلك الشركة وتهدف الشركة إلى معرفة كمية تلك البضائع الواجب شحنها من كل مخزن إلى كل عميل، بحيث تكون تكاليف النقل أقل ما يمكن .

متطلبات استخدام أسلوب البرمجة الخطية:
1-       وجود مشكلة تهدف إلى تعظيم أو تدنية بعض القيم أو الكميات، مثل تعظيم الربح أو تدنية التكاليف.
2-                 وجود مجموعة من القيود المفروضة على الهدف.
3-                 توافر عدة بدائل لحل المشكلة من أجل الاختيار بينها.
4-                  التعبير عن دالة الهدف والقيود فى شكل متباينات خطية.

الافتراضات الأساسية لنموذج البرمجة الخطية:

1-       وجود حالة من التأكد التام فيما يتعلق بقيم دالة الهدف أو القيود ، بمعنى عدم وجود قيم احتمالية.

2-                 ثبات معاملات المتغيرات المستقلة فى كل من دالة الهدف والقيود.
مثال ذلك: إذا كانت وحدة المنتج س تحتاج 3 ساعات لإنتاجها ، فإن إنتاج 10 وحدات يحتاج 30 ساعة ، وأن إنتاج 20 وحدة يحتاج 60 ساعة وهكذا.

3-       وجود خاصية الجمع ، مثال ذلك: أن الربح الكلى هو مجموع أرباح المنتجات المباعة ، فإذا كان ربح الوحدة من المنتج (س1) 10 جنيهات وربح الوحدة من المنتج (س2) 15 جنيهاً ، فإن بيع وحدة واحدة من كل من المنتجين يعنى تحقيق ربحاً قدره 25 جنيهاً .

4-       امكانية التقسيم  أو التجزئة ، بمعنى أن الحلول الممكنة لا يجب بالضرورة أن تكون قيماً صحيحة، حيث يمكن تواجد قيم كسرية بينها.

5-       وجود شرط عدم السالبية فى الحلول النهائية للمشكلة ، حيث لاتوجد قيم سالبة للأشياء المادية مثل عدد الوحدات أو عدد المنتجات....).
